Terms and Conditions of Use and Legal Restrictions

ATTENTION: The following terms and conditions of use and legal restrictions apply to the content and any use of this website (referred to hereafter as this "Site"). Please carefully read all the terms and conditions and legal restrictions before using this Site because by using this Site, you expressly agree to them. You agree that, by using this Site, these terms and conditions of use and legal restrictions supersede the terms and conditions of use related to this Site in any prior agreement, whether written or oral. If you do not agree to these terms and conditions and legal restrictions, do not use this Site.

Access to the Database and Software on this Site is restricted to First Health Group Corp. ("First Health") clients and their clients and existing or prospective covered persons authorized to utilize First Health's services (collectively, "Users"). Access to or use of the Database or Software by any person or entity other than by Users is expressly prohibited.

First Health hereby grants Users a non-exclusive, royalty-free license to use the Database and Software solely for use in identifying current providers in the Network in connection with the services provided by First Health to its clients. Database information is provided to Users for reference only and may have changed since it was last updated. Users should always confirm with the provider the provider's address, phone, specialty, status as a Network provider, and any other pertinent information before making an appointment. The license granted herein will automatically terminate when a person or entity ceases to be a User as defined herein.

Users may not directly or indirectly: (i) comingle or otherwise integrate any Database data in any way with any other data, including without limitation, any other provider data; (ii) modify, adapt, translate, compile, disassemble or create derivative works based on Database data; or (iii) provide, exchange, sell, rent, lease or otherwise share Database data in any form with any third party except as permitted by the license granted herein. The Software may not be copied, downloaded, uploaded, disassembled, decomplied, reverse-engineered, stored or diverted. Additionally, no Users, person or other entity may, without the express written permission of First Health: (i) extract, use or reuse all or a substantial part, qualitatively or quantitatively, of the contents of the Database in a manner that conflicts with First Health's normal exploitation of the Database or adversely affects the actual or potential market for the Database; (ii) engage in the repeated or systematic extraction, use or reuse of insubstantial parts, qualitatively or quantitatively, of the contents of the Database in a manner that cumulatively conflicts with First Health's normal exploitation of the Database or adversely affects the actual or potential market for the Database; or (iii) direct, commission or allow any act prohibited by subsections (i) or (ii) above.

Acts that conflict with a normal exploitation of the Database or adversely affect the actual or potential market for the Database include, but are not limited to, the extraction, use or reuse of all or a substantial part of the contents of the Database in a product or service that directly or indirectly competes in any market with First Health or in a product or service for customers who might otherwise reasonably be expected to be Users of the Database.

"Use" and "reuse" means making available all or a substantial part, qualitatively or quantitatively, of the Database, or access to all or a substantial part, whether or not for direct or indirect commercial advantage or financial gain, by any means now known or later developed, including any of the following: (i) marketing, selling, or renting; (ii) in the form of permanent or temporary copies; or (iii) by distribution through any on-line or other form of transmission.

First Health has no obligation to update any information or content on this Site, and such information or content may be out of date at any given time. First Health may also make improvements and/or changes in the information or content contained in this Site at any time without prior notice. First Health reserves the right to change these Terms and Conditions and Legal Restrictions at any time.
